Over a number of years, Fair-Bro International Brokers has identified the opportunity of approaching its clients and assembling a group of Investors to acquire a shared interest in profitable operating businesses, spread across various sectors; coupled to providing an option of being either a passive investor/s; or electing to take an active role in these businesses.
With this purpose in mind, Fair-Bro International Brokers has facilitated the establishment of an investment vehicle, which will give the ordinary investor an inexpensive entry into the lucrative market of private equity that has traditionally been in the domain of Investment Banks and high worth individuals. FUND PARTICULARS:
R20 million will be raised in the first fund. The executives have identified three opportunities as the right mix to launch the fund. Although traditionally private equity companies only take a minority stake in Investee companies, it has been decided to take a strategic investment in two of the three investments. This hands-on approach will propel the marketing of products and reduce the risk of a potential failure.

INVESTMENT OFFERING:
The Founders of the Fund are offering a total 10 million shares at an issue price of 200 cents per share. The minimum investment is for R500, 000 and the total maximum number of shareholders will be limited to 20. There is also an option to subscribe for Preference Shares in the company. These are fixed coupon shares at 10% per annum. They are secured against the assets of the underlying investments. The investor can elect a mix of Preference and Ordinary shares, depending on the particular risk profile of the individual investor.

Comments: THE INVESTMENT OFFERING - Acquiring equity in hospitality/leisure property/resort/hotel assets at prime locations spread across the globe, via its “option and sales concept”, of retaining equity for services rendered in the best performing properties (good return from the rental pool and capital growth) and selling the lesser performing properties (lower return from rental pool), but providing excellent profits from resale in the short term.

.THE BUSINESS (INVESTMENT) OPPORTUNITY OFFERED:

• To fully implement the project, An additional ZAR13,200,000 loan funding is required for the establishment of an offshore structure, start up and GLOBAL roll-out.

• Of this amount; only 35 % = ± ZAR4,600,000 of the total loan amount is at a very low risk - until viability is proven from the offshore location.

• The total loan amount required, includes the Investor/s acquiring an 18% shareholding in the i.Book-PRC BVI operating Company; a 12% shareholding in the Mauritian IP GBC 1 Company and a 12% shareholding in the i.Share-Own Real Estate Hospitality/leisure property company.

• The Shareholding acquired in all companies is retained by the investor/s even after the loan is repaid in full, inclusive of interest.

• Total required funds needed of ZAR13,200,000 , will be registered as a loan amount in the BVI operating Company and is split into 6 loan blocks of ZAR2,200,000, with only 35% of the investment = ± ZAR770,000 is the maximum risk exposure.

• Each loan block of ZAR2,200,000 will be allocated a 3.00% shareholding in the i.Book-PRC BVI operating Company; a 2.00% shareholding in the Mauritian IP GBC 1 Company and a 2.00% shareholding in the i.Share-Own Leisure Property Company.

• Loan will be repaid at 15% interest per annum calculated on a percentage of income derived from monthly membership fees over a ± 36 month period.
